Key Definitions
- Critical Equipment: Equipment identified in Appendix A as essential for the Customer's core business operations, for which downtime directly results in significant financial or operational impact.
- Normal Business Hours: Monday to Friday, 9:00 AM to 5:00 PM [Customer's Time Zone], excluding public holidays.
- Urgent Request: A request for a spare part or consumable that is required to resolve an immediate failure or prevent imminent failure of Critical Equipment, leading to an unscheduled outage.
- Standard Request: A request for a spare part or consumable that is not classified as Urgent, such as for routine maintenance or planned replacements.
- Response Time: The maximum allowable time from when a request is logged with the Supplier until the Supplier acknowledges the request and initiates an action plan.
- Delivery Time: The maximum allowable time from when an Urgent or Standard Request is approved until the requested spare part or consumable is delivered to the Customer's designated location.
- Uptime Guarantee: The minimum percentage of time that Critical Equipment is expected to be operational, as defined and measured in accordance with this SLA.
- Downtime: Any period during which Critical Equipment is not operational due to the unavailability of necessary spare parts or consumables, as determined by the Customer and confirmed by the Supplier.
- Force Majeure Event: Any event beyond the reasonable control of the Supplier, including but not limited to, acts of God, war, terrorism, natural disasters, strikes, or government actions, which prevent the Supplier from fulfilling its obligations under this SLA.
