  • Service Request: A formal request initiated by the client for Route Survey and/or Rigging Plan services through the designated channels.
  • Acknowledgement: Confirmation by the Service Provider that a Service Request has been received and is being processed.
  • Initial Response: The first communication from the Service Provider acknowledging the Service Request and providing an estimated timeline for further action or information.
  • Resolution: The completion of the requested Route Survey and/or the provision of a detailed Rigging Plan, meeting agreed-upon specifications.
  • Downtime: Any period during which the Service Provider's ability to receive and process Service Requests is unavailable, excluding scheduled maintenance.
  • Scheduled Maintenance: Pre-announced periods where the Service Provider's systems may be temporarily unavailable for updates or improvements.

  • Business Hours: Monday to Friday, 9:00 AM to 5:00 PM (Client's local time), excluding public holidays.
  • Expedited Services: May incur additional charges as per the separate service contract.
  • Urgent Services: Reserved for documented critical situations and subject to availability and potential surcharges.

3. Uptime Guarantees

The Service Provider commits to maintaining the availability of its service request intake and processing systems to ensure clients can submit and track their requests.

  • System Availability: The Service Provider guarantees 99.5% uptime for the service request portal and communication channels, measured monthly, excluding scheduled maintenance.
  • Scheduled Maintenance: The Service Provider will provide at least 48 hours' notice for any scheduled maintenance that may impact service availability.
  • Reporting: The Service Provider will provide monthly reports detailing system uptime and any incidents that may have occurred.

4. Service Credits

In the event that the Service Provider fails to meet the response time objectives or uptime guarantees, the following service credits will be applied:

  • Response Time Missed: For each instance where the Initial Response target is missed by more than 2 business hours for a Medium priority request, a credit of 5% of the monthly service fee (pro-rated) will be applied.
  • Uptime Missed: If monthly system availability falls below 99.5%, a credit of 10% of the monthly service fee (pro-rated) will be applied for every 1% or fraction thereof below the guaranteed uptime.
  • Cumulative Credits: Credits are cumulative and will be applied to the next invoice. The total service credits applied in a given month shall not exceed 25% of the monthly service fee.

5. Exclusions

This SLA does not apply to:

  • Service Requests submitted outside of designated channels.
  • Failures caused by the client's equipment, network, or software.
  • Force majeure events (e.g., natural disasters, acts of war, government restrictions).
  • Issues arising from third-party vendors not directly managed by the Service Provider.
  • Client-induced delays (e.g., providing incomplete information, unavailability for site access).

6. Review and Amendments

This SLA will be reviewed annually, or more frequently as needed, by both parties. Any amendments to this SLA must be in writing and signed by authorized representatives of both parties.

7. Governing Law

This SLA shall be governed by and construed in accordance with the laws of [Insert Governing Jurisdiction].
